Heath Terry of Credit Suisse said in a note Monday that while the market has long undervalued Take-Two, EA faces notable risks in such a combination.

"This acquisition will be a tremendous challenge to EA's management at a time when EA is already in the midst of a development/product overhaul," Terry wrote. No small number of seasoned executives have broken themselves against the rocks of managing Rockstar [the developer of the GTA series]. Take-Two's MLB license sets the gold standard for bad deals and the company still has major legal/regulatory issues outstanding." :P :P

Securities analyst Michael Pachter:
We think that the real urgency of the EA bid is to avoid competition from Take-Two sports titles scheduled for release later in the year. By our math, each year that the companies compete in sports costs EA $150 million in operating profit.
Thus, the clock is ticking. If the offer appears unacceptable to shareholders, we think EA will withdraw it, and we expect EA to compete more aggressively in sports, by cutting price dramatically. By our reckoning, EA could cut pricing on its basketball and hockey games by as much as $30, incurring pain, but causing Take-Two's operating profits to be halved for the fiscal year. We think that such a strategy will force Take-Two back to the bargaining table. :shock:
